Since XP mode requires Windows Virtual PC, you must have a processor that supports hardware virtualization.

You can import xp mode in VMware 7.0 its a new feature and you do not have to have the hardware to support virtualization with this software!

how about activation though? Does the XP VHD (well VMDK in this case) auto-activate?

if you don't have hardware virtualisation you need vmware, and if you use vmware than you can run it on every edition.
Only if you want to install it normally (virtualpc and hadware V) you need ultimate
