Just to don't let any loose end:

Download and install latest Bios update from manufacturer (OPTIONAL, just in case)

Make a little partition about 5 to 8 GB at the end of your main drive, extract there ISO content and from it run the install, to avoid any USB issue.

I made all this prior to upgrade a 2007 old PC just to try Win10 build 10240 upgrading from Win7 SP-1 x86 OEM licenced, fresh reinstalled and fully updated (Pentium 4 631, 2GB RAM, Nvidia 8400GS 512 MB, 80GB MBR partitioned Mechanical HDD), every thing was fine not a single problem during upgrade (not connected to Internet) and activated just connecting, and latter on during fresh reinstall of Win10 (not connected to Internet during reinstall) all worked flawlessly, after connecting it is activated and downloading all new updates with no problems.

This is my test machine untill I upgrade my working rigs.

    Good luck

Changed the hard drive, older hd Maxtor 120gb, put a newer hd in. Upgraded
    win 7 cpu, okay.

Try this. Go into your Device Manager and under Network Adapters and disable the wireless and lan or all of it. Try to update again.

This test has already been done by me.
Before I started the upgrade, I have simply unplugged the network connection. Unfortunately it had no effect on the upgrade procedure - it still stopped at the stage of 23-26%.

Did you unplug it or disable it? Totally different thing. Disabling it mean it won't try to update or install the driver while unplugging it won't prevent it from trying to install it.

As I already have written: I unplugged the network cable.
So you mean, that disabling both network controllers (Intel and Realtek) within the BIOS would solve the upgrade problem?

My upgrade hung and then rolled back to Win 8.1

I couldn't get it to work until I did a factory reset within Windows 8.1 (choosing not to kep files and settings) - then I could run the Win 10 update ISO and it activated permanently no problem
I was going to do a clean install once I had installed Win10 anyway

Well do whatever that will keep Windows 10 from updating or detecting it. Unplugging the ethernet cable not going to do it. Some people managed to get it install by disabling their network adapter.

So I just have done a new test. This time I disabled both onboard Ethernet Controllers within the BIOS before I ran the Setup.exe of the Win10 image.
Result: Even completely disabling the Ethernet Controllers doesn't solve the problem. The upgrade hangs since 1 hour at 23% and doesn't proceed.
Conclusion: My upgrade problem has nothing to do with the Ethernet Controller resp. with the Ethernet driver.

I have no clue. The error was the wifi problem. Are you using a wifi adapter or a build in wifi on the motherboard?

Try hitting the arrow key on your keyboard constantly to see if that will work when you are stuck. For some it seems to work.

Thanks for directing me here Fernando 1. I went ahead and performed all the stuff others have guided you to do, and it also hanged for a time, but I didn't wait for an extensive period. The only similarities I see in our builds is a Z97 motherboard and the Samsung 840 Pro SSD, except mine is a 240GB, assuming this is for the build in your listed system. I'm not sure on any means to possibly test SSD as a fault on my end, because I lost my activation key months ago, so I would be unable to install Windows 8.1 to another drive to perform an upgrade on. Maybe it could be the cause?

    @ Rpyleoh:
No, our problem has nothing to do with our Samsung SSD.
I have already tested it with other SSDs (like the Intel 750 Series PCIe one using NVMe) and didn't succeed with the upgrade. It always hangs at the same stage of the upgrade process (while "copying files").
My suspicion is, that the upgrade procedure is missing something and waits for the input by the user, but the user can neither see the request nor enter anything at this point of the procedure.
If I am right, this would be a severe bug of the Win10 upgrade script written by Microsoft.

I agree at this point. I was able to successfully do a clean install to said SSD, but was unable to activate it even after 4 hours on the phone with Microsoft support. I was basically told, "It's incompatible, we can't activate it."

Also, is it just me, or does it completely freeze? When it's functional I can see a light in the circle glowing, but as soon as it stallsz there's no light anymore.

    Problem solved!

After having spent several days with testing different Win10 images, USB Flash drives, system drives, OS configurations, BIOS settings and Upgrade procedures I found the reason for my permanent Win10 upgrade failure:
It was the Optical drive, which was connected to the ASMedia SATA Controller running in AHCI mode.
    Simple solution:
Unplugging the SATA cable to the optical drive before starting the Win10 upgrade procedure solved the problem.
