Filename: en_winme_cd.iso <-- It is OEM Full version. It is over-dumped about 673792 bytes than original OEM size. en_winme_upgrade_cd.iso <-- Yes, this include MECDkey.txt as you said. But if you delete MECDkey.txt and restore by CDIMAGE 2.39, ISO file must be "Windows ME Retail Upgrade" 102 (Upgrade)<-- Thread said. It have valid timestamp, 23/04/1999, 22:21:00. (On my computer it says 24/04/1999, 00:21:00 because I not live in GMT Standard time.)
If you make ISO on Windows 7, you must set Time Zone as follows to make ISO by CDIMAGE 2.39. TZUTIL /s "GMT Standard Time" Then you must make this as follows. cdimage -l"Win98 SE" -j1 -h -o -t04/23/1999,22:22:00 FOLDER FILE.ISO

It depends on the edition. 98SE is GMT.... 98v1 was Pacific, 98v2 from memory was GMT. Me was GMT also.
