I'm building a virtual 2012r2 server to be a backup in the event our main server crashes. The vm is currently running with the MSDN key and shows as unactivated. What happens if I never activate it? Other than a nag will functions stop working? I'll activate it if I need to use it but hate to waste a key at this time.

I don't know, probably after 30 days some functions will stop working. So it's recommended to activate Windows Server 2012 R2 with Windows Loader or Microsoft Toolkit.

We are using the same as VMs - no issues - all are not activated. Our base OS is standard and licensed.
