They are the same, its the Key you enter that drives the upgrade only option. What are you thinking of doing? Making a custom DVD?

    No!

I can buy a DVD of Windows 7 Professional Upgrade for 100 $

My question is born because if the DVD are the same I can make a clean install?

Or if I make boot directly from the DVD I can't chose clean install and only upgrade?

    bye

Thats a decistion that you will have to make for yourself. However from reading this forum i can see that many people are using loaders without any issues. Or you could use a modified Bios with slic 2.1 and activate that way. Or Go and get yourself a copy at the shops and be 100% legit!..

For practical purposes they are the same, the only real difference is the EULA. You can boot and start a clean install off an upgrade disc.

The key you enters determines the type of licence. You can use an upgrade key on an OEM disc, but you're still governed by the requirements of an upgrade key.

If you wish do do a clean install using an upgrade key, check the following post:

As far as if it's "Worth buying", I'd say yes. $100 for software that you use all the time for 3+ years is a good buy, and supports development and support.
